TERMS & CONDITIONS

I know Terms and Conditions can feel lengthy and full of legal jargon, but they’re here to protect both of us and ensure clarity across every part of our working relationship.

I want to make sure you understand your rights and duties with me and me with you.
this helps prevent confusion and gives you a chance to ask questions.

1. Fees and Payments

The fee you pay is non-refundable in money or in credits, regardless of cancellation notice time.

Either party (you, the Client, or us, Socially Flourished) may terminate the service at any time if the relationship is deemed unsatisfactory. Once written notice and confirmation are given, you are responsible for payment for any and all expenses incurred, as determined by Socially Flourished.

Social Media Management Retainers
 

• Invoices are issued on the 1st day of each month with five (5) calendar days to make payment in full.

• Failure to pay by the due date will result in your posting schedule being paused until payment is received.

• Any scheduled content missed during this time will not be backdated, rescheduled, or credited once payment has been made.

• Retainers operate on a three (3) month minimum term, continuing month-to-month thereafter.

Content Creation & Content Library Curation
 

• Projects for one-off content creation or content library curation require full payment upfront before work commences.

• No files, concepts, or drafts will be delivered until payment is received in full.

• Revisions outside the agreed project scope will incur additional charges, quoted prior to further work being completed.

Content Shoots
 

• A non-refundable deposit may be required to secure the shoot date, with the balance due no later than seven (7) days before the shoot.

• Shoot dates are not confirmed until payment has been received in full.

• Should payment not be made by the due date, the scheduled shoot may be cancelled or rescheduled at the discretion of Socially Flourished.

• All content remains the property of Socially Flourished until full payment has been received.

VIP Days
 

• VIP Days are offered as a flat-fee service. Payment plans are available; however, the total amount must be paid before the booked date.

• If payment is not made by the due date, the booking will be released and may be offered to another client.

• Deliverables created during the VIP Day remain the intellectual property of Socially Flourished unless a Template Access Fee is paid (see Section 8).

Coaching
 

• Coaching sessions or packages must be paid as agreed at the time of booking.

• If a payment has been missed, a one-week grace period is provided to catch up.

• If two (2) payments are missed, all sessions will be placed on hold until payments are made in full, and the remaining balance must be paid before work recommences.

• Coaching packages are valid for either 3, 6, or 12 months, depending on your chosen option.

• All sessions (whether 1 hour fortnightly or 2 hours per month) must be used within the selected duration.

Rescheduling and Missed Appointments (Coaching Only)
 

• Cancellations require 24 hours’ written notice and confirmation from Socially Flourished.

• You must reschedule within 4 weeks of the original session date.

• Missed sessions without 24 hours’ notice are forfeited and cannot be rescheduled.

• Exceptions may be made on compassionate grounds at the discretion of Socially Flourished.

• If Socially Flourished cancels or reschedules a session, at least 24 hours’ notice will be provided, and a credit for that session will be applied.

2. Change of Mind

If you decide not to continue with your booked services, any monies paid will be forfeited.
If you are on a payment plan, the next payment will be due, and any further scheduled payments will then be cancelled.

3. Scope of Services

Socially Flourished provides creative and digital content services for small-business owners.
 
Each service has specific inclusions and deliverables as outlined below.

(a) Social Media Management
 

• Ongoing management of your nominated platforms, including content curation, caption writing, and scheduling of approved posts.

• Deliverables include the final, ready-to-publish content only.

• All creative concepts, design files, templates, and systems used to produce that content remain the property of Socially Flourished.

• Editable versions or templates are not included unless otherwise agreed in writing.

• Minimum term: 3 months, billed monthly thereafter.

(b) Content Creation & Visual Design
 

• Creation of custom graphics, carousels, Reels, and branded visuals to suit your brand style and goals.

• Final files are supplied in platform-ready formats (e.g. PNG, MP4, JPEG).

• Editable or working files (Canva, Procreate, Vectornator, Photoshop) are not included by default.

• Editable access may be purchased separately under the Template Access Fee (see Section 8).

(c) Content Library Curation
 

• Curation of post ideas, caption prompts, and content topics tailored to your audience and brand pillars.

• These materials are for your own business use only and must not be copied, shared, resold, or repurposed for other brands or clients.

(d) Content Shoots
 

• Planning, styling, and execution of photo or video shoots to generate visual content for your social-media or marketing use.

• All raw images, footage, and edited deliverables remain the property of Socially Flourished until full payment is received.

• Usage rights extend to your business marketing only. Extended or third-party use requires written permission and an additional licence.

(e) VIP Day
 

• A one-day intensive dedicated to creative direction and content development.

• You’ll receive a written plan or summary of work for your own implementation.

• Editable templates or working files created during the session remain the property of Socially Flourished unless a Template Access Fee is paid (see Section 8).

• Payment: Flat-fee service, payable in full before the booking date.

4. Intellectual Property & Creative Ownership

All creative assets, templates, strategies, copywriting, systems, photographs, and visual designs produced by Socially Flourished (the “Works”) remain the sole property and intellectual property of Socially Flourished unless otherwise agreed in writing.

You are granted a non-exclusive, non-transferable licence to use the final, delivered Works for your own business marketing purposes.

This licence does not include access to editable design files, templates, or raw working documents.
Clients must not copy, resell, distribute, or modify any Works created by Socially Flourished without prior written consent.

Where editable templates or working files are supplied, rights are granted solely for your business use - they may not be shared, sold, or repurposed for other brands.

5. Template Access Fee

If you would like access to editable or source files (e.g. Canva templates, Procreate, or Vectornator designs), these can be provided under a Template Access Agreement.

• Flat Template Access Fee: AUD $399 per project

• Must be paid in full before editable files are released

• Covers the transfer of editable files and an extended licence for your own ongoing use

• Unless otherwise agreed, editable or raw files are not included in standard services

6. Confidentiality

Both parties agree to maintain confidentiality regarding all matters discussed or shared during our work together.

Neither party will disclose any confidential information to a third party without written consent.
Socially Flourished takes all reasonable measures to protect your privacy and business information.

7. Liability

Socially Flourished will not be liable for any loss, damage, expense, injury, or death arising in connection with the services provided, except for any liability that cannot be excluded by law.

Where liability cannot be excluded, it is limited to the minimum amount permitted by law.

8. Advice Disclaimer

All information and advice shared by Socially Flourished is based on experience and provided in good faith.

It does not constitute legal, financial, or insurance advice.
Clients are encouraged to seek professional advice for matters relating to law, finance, or liability.

9. Copyright and Portfolio Use

Socially Flourished retains the right to display non-confidential examples of completed work (e.g. graphics, screenshots, or testimonials) in portfolios, marketing materials and case studies.

If you wish to keep certain work private, this must be requested in writing before the project begins.

10. Jurisdiction

These Terms and Conditions are governed by the laws of Western Australia.

Any disputes will first be submitted to mediation or arbitration within Western Australia before further legal action is taken.
